Terms of Service

1. Who we are
Ledgerhead (“we”, “us”) provides cashflow monitoring software for small construction businesses at ledgerhead.net (the “Service”). Ledgerhead is built and operated by Idris Newell, based in the United Kingdom, and can be reached at info@ledgerhead.net. By creating an account you agree to these terms. If you do not agree, do not use the Service.
2. Your account
You must give accurate registration details and keep your password secure. You are responsible for everything done through your account. Tell us promptly if you believe it has been accessed without your permission. You must be at least 18 and using the Service for a business.
3. What you may and may not do
You agree not to:
- use the Service unlawfully, or to send unsolicited marketing;
- upload content you have no right to upload, or anything malicious;
- attempt to access other customers’ data, or probe or disrupt the Service;
- resell or white-label the Service without our written agreement.
4. Your data
Your jobs, invoices, documents and client details remain yours. You grant us only the licence needed to host and process them in order to run the Service. How we handle personal data is set out in our Privacy Policy. You can export or delete your data at any time by contacting us.
5. Emails sent on your behalf
The Service can send payment reminders to your clients showing your business name and reply-to address. This is important, so please read it carefully:
- You control whether reminders are switched on, and their tone and schedule.
- You are the sender in substance. You are responsible for the accuracy of the underlying invoice data and for your relationship with the recipient.
- You confirm you have a lawful basis to contact those clients about money they owe you.
- Amounts, dates and names in reminders are taken from your records. If those records are wrong, the reminder will be wrong.
6. Not financial or legal advice
Ledgerhead highlights patterns in figures you enter. Risk levels, forecasts and runway estimates are informational only. They are not accounting, tax, legal or investment advice, and are not a substitute for your accountant. Decisions you take remain yours.
7. Availability
We aim to keep the Service running but do not promise uninterrupted availability. We may change, suspend or discontinue features. Where a change is significant and adverse we will give reasonable notice. Scheduled automated tasks, such as reminder sending, depend on third-party providers and may be delayed.
8. Paid plans
Ledgerhead is currently free while it is in beta. No card is collected and nothing is charged. It will not stay free. Before charging begins we will tell you by email, and you will have to actively choose to subscribe: no account is ever moved onto a paid plan automatically, and nothing can be charged to a card we have never been given. The rest of this section describes those plans, so you can see now what they will cost.
Ledgerhead Pro will be £149.99 a month, or £1,439.90 for a year paid in advance, which works out at £119.99 a month. Both plans include every feature; there is no cut-down tier. Crew, for businesses running several crews or more than one trading name, is quoted individually rather than listed.
A new monthly subscription begins with a 14-day trial. Your card is collected when you subscribe and nothing is charged until the trial ends. Cancel before then and you are not charged at all.
Payments are taken by Stripe. We never see or store your card details. Plans are billed in advance for the period shown at checkout and renew automatically until cancelled. You may cancel at any time from inside the app, effective at the end of the period you have already paid for. We may change prices with at least 30 days’ notice, and existing customers keep any rate we have explicitly agreed to honour.
Yearly plans carry a 60-day money-back guarantee. If you email info@ledgerhead.net within 60 days of your first yearly payment on an account and ask for a refund, we will refund that payment in full to the card it was taken from and close your Pro access. You do not need to give a reason, and we will not ask you to complete a form or speak to anyone first. We aim to start the refund within five working days; how long it then takes to appear is up to your bank. This guarantee applies to the first yearly payment on an account, not to later renewals.
Outside that window, and on monthly plans, we do not refund part-periods unless required by law. Nothing in this section affects any right you have that cannot lawfully be excluded.
9. Ending your use
You may stop using the Service and delete your account at any time. We may suspend or end access if you materially breach these terms, or where required by law, giving notice where it is reasonable to do so. You can request an export of your data for 30 days afterwards.
10. Liability
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data. Our total liability in any 12-month period is limited to the greater of the fees you paid us in that period, or £100.
In particular, we are not liable for decisions taken in reliance on a risk level, forecast or runway figure, nor for a payment reminder sent using data you provided.
11. Changes to these terms
We may update these terms. We will post the new version here and update the date above. For material changes we will give notice by email or in the app. Continuing to use the Service after a change means you accept it.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
